Terms of Service

1. Parties and agreement

These Terms of Service (“Terms”) govern access to and use of Dhruvanta One and associated products (Dhruvanta ERP, Dhruvanta CLM, Dhruvanta Sign, PrintAnywhere) (collectively, the “Services”) provided by Dhruvanta Systems Private Limited(CIN  U62013TS2026PTC212638), 15-11-86, Ramannapet, Warangal, Telangana 506002, India (“Dhruvanta Systems”, “we”, or “us”).

By accessing or using the Services, the organisation or business entity creating an account (“Customer” or “you”) agrees to these Terms. These Terms apply solely to business-to-business (B2B) relationships. The Services are not offered to consumers.

The individual accepting these Terms on behalf of the Customer represents that they have authority to bind the Customer.

2. Services and access

Subject to these Terms and payment of applicable fees, Dhruvanta Systems grants the Customer a limited, non-exclusive, non-transferable, revocable licence to access and use the Services during the subscription term.

• Access is scoped to the Customer's tenant; data is isolated per tenant and may not be shared or transferred across tenants.
• The Customer is responsible for all activity occurring under its account and for maintaining the confidentiality of credentials.
• Plan features and limits are defined by the subscribed tier and may be reviewed on the Pricing page.

3. Customer data

The Customer retains ownership of all data it uploads, submits, or generates through the Services (“Customer Data”). Dhruvanta Systems processes Customer Data only as instructed by the Customer and does not use it for any purpose outside the provision of the Services, subject to applicable law.

The Customer represents and warrants that it has obtained all necessary consents and has the right to provide Customer Data to Dhruvanta Systems for processing under these Terms.

4. Fees and payment

• Fees are set out on the Pricing page and are due as stated on the applicable invoice.
• All fees are exclusive of applicable taxes (including GST) unless stated otherwise.
• Dhruvanta Systems may adjust fees on 30 days’ written notice; continued use after the notice period constitutes acceptance of the new fees.
• Refunds are governed by the Refund & Cancellation Policy.

5. Acceptable use

Use of the Services is subject to the Acceptable Use Policy. The Customer must not, and must ensure its users do not:

• Violate any applicable law or regulation.
• Transmit malware, spam, or unauthorised communications.
• Attempt to gain unauthorised access to systems or other tenants' data.
• Use the Services to harm, defame, or harass any person.
• Reverse-engineer, decompile, or attempt to derive source code from the Services.

6. Intellectual property

As between the parties, Dhruvanta Systems owns all rights in the Services, including all software, designs, trademarks, and documentation. These Terms do not convey any ownership interest in the Services to the Customer.

The Customer grants Dhruvanta Systems a limited licence to process Customer Data solely to provide the Services.

7. Confidentiality

Each party agrees to keep confidential the other party's non-public information disclosed in connection with these Terms and to use it only for the purposes of the agreement. This obligation survives termination for three years.

8. Availability and changes to services

Dhruvanta Systems will use commercially reasonable efforts to maintain availability of the Services. We may modify, suspend, or discontinue any feature of the Services with reasonable notice. We reserve the right to update these Terms; material changes will be notified at least 14 days in advance.

9. Term and termination

• These Terms continue until the Customer's subscription expires or is terminated.
• Either party may terminate for material breach on 30 days’ written notice if the breach is not remedied within that period.
• Upon termination, the Customer's access to the Services ceases and the data retention provisions of the Privacy Policy apply, including the 7-day grace period for account deletion.

10. Warranties and disclaimers

The Services are provided “as is” and “as available”. To the extent permitted by law, Dhruvanta Systems disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

The Customer warrants that it will use the Services in compliance with applicable law and these Terms.

11. Limitation of liability

To the maximum extent permitted by applicable law:

• Neither party will be liable for indirect, incidental, consequential, or punitive damages arising from these Terms.
• Dhruvanta Systems' total aggregate liability in connection with the Services will not exceed the fees paid by the Customer in the twelve months preceding the claim.

12. Indemnification

The Customer will indemnify and hold harmless Dhruvanta Systems from any claims, losses, or expenses (including reasonable legal fees) arising from (a) the Customer's breach of these Terms, (b) Customer Data infringing third-party rights, or (c) the Customer's violation of applicable law.

13. Privacy and data protection

The processing of personal data in connection with the Services is governed by the Privacy Policy and, where applicable, a Data Processing Addendum. By using the Services the Customer agrees to those terms.

14. Governing law and disputes

These Terms are governed by the laws of India. The courts at Warangal, Telangana, India have exclusive jurisdiction over any dispute arising under or in connection with these Terms. The parties will attempt good-faith resolution before initiating formal proceedings.

15. General

• Entire agreement — These Terms, together with the Privacy Policy, Refund Policy, Acceptable Use Policy, and any applicable order form, constitute the entire agreement between the parties.
• Severability — If any provision is found unenforceable, the remaining provisions continue in full force.
• No waiver — Failure to enforce any provision is not a waiver of the right to do so in the future.
